1. Scope and acceptance
These Publisher Terms govern participation as a publication owner or authorised representative supplying placements through PressWhizz Media LLC, a New Mexico limited liability company at 1209 Mountain Road Pl NE Ste N, Albuquerque, New Mexico 87110, United States ("PressWhizz", "we", "us"). "You" or "Publisher" means the person or organisation accepting these Terms and supplying publication services. "Advertiser" means a customer purchasing those services through PressWhizz. A "placement" includes an article publication or a link inserted into existing content.
By accepting these Terms when registering or accepting an order, you agree to them. You must be at least 18 and legally capable of contracting. If acting for an organisation, you confirm authority to bind it. These Terms apply to platform orders and orders expressly agreed in writing with our authorised representatives.
A separate written agreement expressly varying these Terms takes priority. Accepted order specifications govern the particular deliverables, price and agreed delivery schedule. Listing conditions cannot reduce the minimum retention obligation or otherwise override these Terms unless PressWhizz expressly agrees in writing. Mandatory rights and legal duties remain unaffected.
2. Eligibility authority and accounts
Only publication owners and authorised representatives may list or supply placements. You must hold the authority and permissions needed to accept orders, publish supplied materials, and perform the obligations in these Terms. You remain responsible for fulfilment even where another person owns or operates the website.
Provide accurate identity, business, contact and payment details and keep them current. We may request reasonable evidence of ownership or authority and decline, suspend or remove listings if that evidence is insufficient or your authority ends. Notify us promptly of changes affecting your ability to fulfil orders.
Protect account credentials and restrict access to authorised team members. You are responsible for orders and instructions submitted by those users and must promptly report suspected unauthorised access. You act as an independent supplier; these Terms do not create employment, partnership or authority to bind PressWhizz.
3. Listings and prices
You set your publication prices in the platform. The amount payable to you for an order is the amount shown to you and accepted for that order. You may change prices for future orders, but an accepted order retains its agreed price unless PressWhizz agrees a change in writing. No undisclosed additional charge may be imposed after acceptance.
Listings must accurately identify the publication and describe its requirements, restrictions, available services, expected turnaround and any conditions affecting delivery. Keep availability and information you supply current. Do not misrepresent ownership, fabricate statistics or supply manipulated evidence. We may request supporting information, refuse a listing or remove an unsuitable or duplicate listing.
Third-party metrics, including Ahrefs and Moz data, are estimates or measurements that may be cached or refreshed periodically and can fluctuate. Listing approval does not guarantee accuracy or future performance. You are responsible for the accuracy of information you supply and must not knowingly mislead us or advertisers. We do not guarantee listing visibility, order volume, earnings or continued inclusion of any website.
4. Order acceptance and publication
Review each order, supplied content and requirements before accepting. Accept or reject within seven calendar days after notification. If you do not respond within that period, PressWhizz may cancel the unanswered order without payment. Rejection before acceptance does not entitle you to a fee.
Acceptance commits you to the agreed price, website, content, target URLs, anchors, link attributes and other order requirements, and to the turnaround stated in your listing or otherwise agreed for the order. If required materials or approvals are outstanding, notify us; any resulting scheduling change must be reasonably explained. Do not publish an item awaiting approval or proceed with a material change without authorisation.
Notify us promptly if an accepted order is delayed, cannot be completed or conflicts with a legal requirement. You may not unilaterally increase the price, substitute a different website or abandon an accepted order. If fulfilment is unreasonably delayed or impossible, we may agree a revised deadline or alternative, or cancel the unfulfilled placement and reverse or recover any payment for it after giving you reasonable notice and an opportunity to respond. Publication after cancellation does not revive the order unless we agree.
An advertiser cannot cancel an accepted order solely because it changes its mind. This does not prevent PressWhizz from addressing non-performance, unlawful content, an agreed cancellation or mandatory legal rights.
5. Supplied content and permitted changes
Articles are generally supplied by the advertiser or PressWhizz. You receive a non-exclusive permission to reproduce and publish the supplied content on the website and for the placement specified in the accepted order. This does not transfer ownership or permit unrelated reuse, syndication, resale or publication on other websites without the relevant rights holder’s permission.
You may correct minor spelling, punctuation and grammar issues that do not change meaning. Changes to the substance, title, links, anchors, target URLs, agreed link attributes or other material requirements require prior approval through PressWhizz or the authorised order communication channel. If a required legal disclosure or editorial change conflicts with the order, raise it before publication rather than silently changing the deliverable.
Do not publish content you know to be unlawful or infringing. You are responsible for operating your website lawfully and applying required advertising disclosures. Notify PressWhizz promptly of credible legal complaints about an ordered publication. Where urgent removal or modification is legally necessary, take the required action and inform us as soon as lawful and practicable. Responsibility for repayment or other remedies will depend on the cause and applicable obligations; this does not authorise knowingly publishing unlawful material.
If you supply additional text, images or other materials, you must have the rights and permissions needed for their agreed use and ensure they are lawful and meet the accepted brief. Publisher writing is included only where separately agreed.
6. Completion review and corrections
After publication, submit the correct live URL through the platform or the agreed order channel and mark the order complete where that function is available. Do not report completion before the placement is live or submit a misleading URL. Provide reasonable evidence of fulfilment if requested.
The advertiser has seven calendar days after notification of completion to approve or raise a specific issue. If it does not respond, the completed placement is automatically approved. A timely objection pauses automatic approval and eligibility for payment of the affected order while the issue is unresolved. A revised item receives a new seven-calendar-day review period when the advertiser is notified.
PressWhizz may determine, acting reasonably and on the available evidence, whether an objection identifies a failure to meet the accepted order. We will explain our assessment to the affected parties and allow a reasonable opportunity to provide relevant information. An objection unrelated to agreed requirements, a change of preference or a request for additional scope does not by itself prevent approval or payout for properly completed work. If the advertiser stops responding or the dispute otherwise remains unresolved, we may conclude the initial approval process on the available evidence within a reasonable period and release properly earned remuneration. This does not remove valid advertiser remedies or your retention, correction or repayment obligations.
Correct failures to meet the accepted order without additional charge within a reasonable period agreed with PressWhizz. Customer-requested changes beyond the original brief may be separately priced and require agreement before additional work starts. If a material delivery failure cannot be resolved, we may cancel or reverse the affected unfulfilled portion and recover any corresponding payment.
Approval or payout confirms initial delivery for operational purposes. It does not end the retention obligation, prevent investigation of fraud or remove accrued rights under these Terms.
7. Minimum twelve month retention
You guarantee that the paid link and the article or page containing it will remain published and publicly accessible on the agreed website for at least 12 months from the original publication date. Do not remove the link or article during that period except where removal is required by law, expressly requested or authorised through PressWhizz, or otherwise permitted by these Terms. The expiry of the minimum period does not itself require removal or create a new removal fee.
Deletion of the containing article and permanent closure of the website count as removal if the paid link is no longer accessible. Temporary downtime alone does not establish permanent removal, but you must take reasonable steps to restore access and provide status information when asked. Repeated or prolonged inaccessibility may require a remedy where the retention obligation is not being met.
An unauthorised change to the link destination so that the paid link no longer points to the agreed target URL is treated as removal for purposes of sections 7 and 8. A destination change expressly requested or approved through the authorised order process is not removal for this purpose.
A sale, transfer of ownership, change of management, loss of your publishing authority or closure of your account does not release you from existing retention obligations. Where transferring a website, arrange for the new operator to honour existing placements and notify PressWhizz of a change affecting fulfilment. You remain responsible unless we expressly release you in writing.
This retention promise concerns keeping the placement accessible. It does not require you to guarantee third-party search rankings or indexing. Obligations to meet the accepted specification and obtain approval for material changes remain governed by sections 4 and 5.
8. Restoration replacement and repayment
If a placement is removed during its retention period, notify us promptly if you become aware of it and cooperate with investigation. On receiving notice from us, first seek restoration within a reasonable period. If restoration is not possible, you must arrange a reasonably equivalent replacement approved by PressWhizz, including advertiser approval where required, or repay the full amount paid to you for the affected placement.
You may propose an alternative website, but cannot impose it. Equivalence takes account of relevance, available metrics and placement value. If an acceptable replacement cannot be agreed or supplied within a reasonable period, repayment becomes due. Restoration and replacement discussions cannot postpone resolution indefinitely.
A replacement carries the unexpired balance of the original 12-month retention period, measured from the original publication date; it does not restart or extend that period unless expressly agreed. If it is removed within that remaining period, the same restoration, replacement or repayment process applies.
A repayment obligation does not arise solely because an advertiser requests removal, supplied material is established to be unlawful or infringing without fault on your part, or you comply with a binding legal requirement that you did not cause or knowingly disregard. You must provide reasonable supporting information and notify us promptly. A website sale, avoidable shutdown or loss of authority alone is not an exception to repayment.
Repayment is based on the publisher remuneration paid to you for the affected placement. It is not automatically prorated by the time the link was live. We will not recover the same amount twice.
9. Payment eligibility and payout requests
Remuneration becomes eligible for payout once the completed order is approved by the advertiser or automatically approved under section 6, provided no unresolved issue affects it. There is no routine additional holding period. Payout before expiry of 12 months does not release you from retention or repayment obligations.
Request payout through the method we make available or through support or your designated PressWhizz contact. Unless separately agreed, eligible, undisputed amounts will be processed for payment within seven working days after we receive the request and the payment and accounting information reasonably required. Working days mean Monday to Friday excluding United States federal holidays. Transfers may take additional time to reach your account depending on the payment provider.
Provide a valid invoice or the accurate information reasonably required for payment and accounting records, including your personal or legal business name, address, individual or corporate status, applicable tax identification numbers, payment details and relevant order or payout references. Where a valid invoice or tax document is legally required, you must supply it. We may request reasonable verification. Submission of information does not itself establish an automated invoicing or self-billing arrangement.
Payments use the currency and supported method agreed or displayed for the payout. Any fee charged by PressWhizz must be disclosed before the payout request is confirmed. Your receiving institution may impose separate charges. You are responsible for your taxes and required registrations; we may deduct or withhold amounts where law requires and provide the applicable records.
We may pause payment of an affected amount while reasonably investigating a genuine fulfilment dispute, suspected fraud, an ownership or authority issue, or a legal restriction. We will explain the reason where lawful and release undisputed, eligible amounts without unreasonable delay. A hold must not be used to avoid paying properly earned amounts.
10. Recovery and account adjustments
We may reverse an unpaid earning for an unfulfilled, fraudulent or properly cancelled placement and set off amounts properly owed by you under these Terms against your balance or future earnings. We will provide the affected order reference and basis for the adjustment and allow a reasonable opportunity to dispute it. Undisputed amounts remain payable.
If your balance is insufficient, you must repay the outstanding amount within a reasonable period specified in our written demand. Closing an account or withdrawing earlier earnings does not remove an accrued repayment obligation. We may pursue available recovery remedies but will not impose an undisclosed penalty.
An advertiser payment dispute or chargeback alone does not establish publisher fault. Adjustments require a basis under these Terms or applicable law.
11. Confidentiality and prohibited solicitation
Use advertiser, client, campaign and order information only to fulfil the relevant order. Keep private contact details, commercial terms, pricing, instructions, placement information and communications confidential. Disclosure is permitted to authorised personnel who need it for fulfilment and are subject to confidentiality obligations, or where required by law.
Do not use information obtained through PressWhizz to approach, solicit or offer off-platform services to an advertiser or its underlying client, arrange direct deals, bypass PressWhizz or enable another person to do so. Do not disclose confidential commercial arrangements or identify an advertiser, client or campaign in publicity without appropriate authorisation. Do not contact an underlying client directly to collect payment, resolve a platform dispute or pressure the advertiser.
These restrictions concern use of information or introductions obtained through PressWhizz and do not prohibit independent business relationships that do not use that information or circumvent a PressWhizz order. Order communications must stay within the platform or channels expressly authorised by PressWhizz.
Confidentiality does not cover information already lawfully known, independently developed, lawfully received without restriction or public without breach. Obligations continue while the information remains confidential. Nothing restricts honest reviews or legally protected reporting.
12. Platform rights and publication monitoring
You grant PressWhizz permission to display the publication names, listing descriptions, logos and other listing materials you provide to operate and promote the marketplace listings and fulfil orders. You confirm authority to grant that permission. This does not transfer your intellectual property or imply your publication endorses PressWhizz beyond the actual commercial relationship.
You permit reasonable checks of publicly accessible placement pages to verify delivery and retention, including automated checks. This does not authorise access to private systems, installation of tracking scripts or collection of visitor analytics without a separate arrangement.
Do not scrape, harvest, systematically copy or distribute PressWhizz’s marketplace, customer information or database, interfere with security, submit fake orders or completion evidence, or impersonate others. Authorised platform features may be used for their stated purpose. Our platform, software, branding and database remain ours or our licensors’.
13. Privacy and notices
Our Privacy Policy describes how we process personal information. Handle personal information received for an order only as necessary to perform it, protect it appropriately and comply with applicable data-protection law. These Terms do not authorise independent marketing to people identified in orders.
We may send registration, account, onboarding, order, payout, security, dispute and legal messages through the platform or to your registered email address, and through WhatsApp where you have provided the required permission. We may introduce manual telephone calls by our team for account setup, genuine verification, security, support or fulfilment matters. Keep contact details current and monitor notifications. A seven-day order response or review period begins on notification as described in the relevant section. Providing a phone number or accepting these Terms does not itself grant any separate messaging or marketing consent required by law or the messaging provider. You may ask us to stop WhatsApp messages; necessary notices may continue through another appropriate channel. Our Privacy Policy explains information use and communication choices. These provisions do not authorise automated, prerecorded or AI-generated calls.
14. Liability and indemnity
You are responsible for losses and third-party claims caused by your lack of publishing authority, unlawful or infringing materials you supply, unauthorised changes, fraudulent information or material breach of these Terms. To the extent permitted by law, you will indemnify PressWhizz against resulting third-party claims, reasonable damages and legal costs. This does not extend to the extent a claim results from our own breach, negligence or misconduct. We will notify you promptly, allow reasonable participation in the defence and not agree a settlement imposing obligations on you without your consent, not to be unreasonably withheld.
To the fullest extent permitted by law, PressWhizz is not liable for your lost profits, lost orders, lost opportunities or indirect or consequential losses. Our aggregate liability arising from an affected publisher order is limited to the agreed publisher remuneration for that order. Claims unrelated to a particular order are limited to publisher remuneration paid or payable to you during the 12 months before the event giving rise to the claim.
These limitations do not reduce our obligation to pay properly earned remuneration or return funds we lawfully owe you, and do not limit liability for fraud, wilful misconduct, gross negligence or liability that cannot lawfully be limited. Your specific restoration, replacement and repayment obligations remain enforceable subject to applicable law.
15. Suspension closure and events beyond control
We may decline new listings or orders and suspend or terminate access where reasonably necessary for security, suspected fraud, missing authority, material non-performance or breach of these Terms. Where practicable, we will explain the reason and allow correction; urgent risks may require immediate restriction. Either party may terminate for material breach not remedied within a reasonable period after notice.
You may request account closure through support. Closure does not cancel existing orders, retention obligations, payment or repayment duties, or accrued rights. Eligible, undisputed earnings remain payable under section 9. We may retain order and accounting records for applicable legal and operational retention periods.
An event beyond reasonable control may excuse delay to the extent the event could not reasonably be prevented or overcome. Notify us promptly, explain its effect and take reasonable mitigating steps. Such an event does not automatically establish satisfactory delivery, make an unfulfilled placement payable or extinguish an applicable repayment obligation.
16. Governing law and other provisions
Send complaints to support@presswhizz.com with the relevant listing or order references and supporting information. We will investigate and seek a practical resolution. These Terms are governed by New Mexico law, excluding its conflict-of-laws rules, subject to mandatory law. Disputes are subject to the exclusive jurisdiction of the state courts in Bernalillo County, New Mexico, or the United States District Court for the District of New Mexico where federal jurisdiction exists, except where mandatory law requires otherwise.
These Terms, accepted order specifications and any applicable separate written agreement form the entire agreement for the relevant services. An unenforceable provision does not invalidate the remainder to the extent lawful. Failure to enforce a provision is not a waiver. Neither party may transfer an agreement without consent, except as part of a merger, reorganisation or sale of the relevant business where the other party’s rights are preserved. This does not release your existing website retention obligations.
We may update these Terms prospectively by notifying you through the platform or email at least 14 days before material changes take effect. Accepted orders remain governed by the version accepted for them unless otherwise agreed or required by law. New terms apply to future orders when accepted. Accrued earnings, repayment obligations and retention periods are not retroactively changed without agreement.
